For the last 26 years, my practice has been exclusively in the areas of corporate and securities law with an emphasis on technology transactions. A significant portion of my practice includes the representation of academic institutions and inventors. While my practice is not sector-specific, I do a significant amount of work for technology and life science companies, including in relation to strategic alliances, licensing and technology transfer for commercial and not-for-profit institutions. I have, for example, done work for University of Toronto, Ryerson University, Centre for Addiction & Mental Health, and most of the research hospitals in Toronto, including Mount Sinai Hospital, University Health Network, St. Michael's Hospital and Sick Children's Hospital, the Ontario Institute for Cancer Research and the University of Ontario Institute of Technology. I have represented institutions, researchers and the spin-off companies which are established from the research conducted at these institutions.  

I am a former member of the Ontario Securities Commission's Securities Advisory Committee, which provides advice to the Ontario Securities Commission on various matters, including legislative reform and policy initiatives.  I have been an adjunct faculty member of Toronto's Osgoode Hall Law School and the Rotman School of Business at the University of Toronto. 

Prior to the function being brought back "in-house" at the University of Toronto, I was a member of the Board of Directors of the University of Toronto's Innovations Foundation, the arm of the University which was responsible for commercializing the technology developed at the University. My community involvement also includes Board membership on the Ontario Genomics Institute  (www.ontariogenomics.ca),  Pathways to Education Canada (www.pathwaystoeducation.ca), the Ontario Neurotrauma Foundation  (www.onf.org) and as the President of ThinkFirst Foundation of Canada (www.thinkfirst.ca), as well as being on the Board of Governors and the Research and Commercialization Committee of Toronto's Mount Sinai Hospital (www.mountsinai.on.ca) and being the Chair of the Cell Therapy Advisory Board of Toronto's Princess Margaret Hospital (www.celltherapy.ca) , Canada's premier cancer research and treatment hospital. I am the relationship partner in servicing the Ontario Institute of Cancer Research  (www.oicr.on.ca), and lead the group within the firm which is responsible for commercialization activities on behalf of this client. 

I am active in various committees and task forces of the American Bar Association's Mergers & Acquisitions Committee (see full bio at http://www.ogilvyrenault.com/en/people_JayLefton.htm ).  I am also involved in various activities at the International Bar Association. Hanbury Management Ltd and Z. Sam Ruttonsha provide services related to (i) mergers & acquisitions, licensing technology and raising of capital (ii) acting on boards of directors (iii) taking a senior leadership role in companies in a restructuring/sale or growth mode.

Capital markets and transaction experience has been garnered during stints as a Vice President in Royal Bank's private equity group, as a corporate development practitioner at Domtar Chemicals Group and GE Canada, and through his own management company. Completed 30+ transactions, was involved in a host of others and has participated on 15+ Boards of public and private companies.

Some recent projects were : (i) CEO/turnaround/sale of a Vancouver- based biotech company at a price that was several orders of magnitude higher than the unofficial fairness opinion (ii) CFO/sale of another biotech company to its previous parent, where shareholders received double what had previously been discussed (iii) Advisor/sale of a software company at a premium to the sellers’ expectations (iv) Raising of mezzanine financing for the qualifying transaction of a capital pool company; then sale of that position for the investor at a healthy profit (v) Recovery of a significant investment in a plastics producer.

Prior experience has included creating and managing a start-up business, and leadership roles in marketing, manufacturing, and product development.
